1. Agreement to Terms

By accessing or using SwankyTools™ services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

SwankyTools™ provides AI product architecture and agent-powered development services. The specific scope, deliverables, and terms of each project will be outlined in a separate project agreement or statement of work.

3. Intellectual Property

Unless otherwise agreed in writing:

• Upon full payment, clients receive ownership of custom code developed for their project
• SwankyTools™ retains ownership of pre-existing tools, frameworks, and methodologies
• Both parties may reference the engagement for marketing purposes unless confidentiality is agreed

4. Payment Terms

Payment terms will be specified in individual project agreements. Late payments may result in suspension of services and may incur additional fees as outlined in the project agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes but is not limited to business strategies, technical specifications, and trade secrets.

6. Limitation of Liability

SwankyTools™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services. Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

7. Termination

Either party may terminate services as outlined in the specific project agreement. Upon termination, the client shall pay for all services rendered up to the termination date.

8. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of the updated terms.
